1. Introduction

The Service is provided as a software platform that enables business customers (“Customers”) to manage, automate, and facilitate communications and operational workflows with their own clients and end users (“End Users”).
By accessing or using the Service, you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree, you may not use the Service.
2. Platform Provider Role
The Company operates as an independent software vendor (ISV) and technology service provider.
We provide software tools and communication infrastructure that allow Customers to send and manage communications with their End Users. We do not originate, control, or determine the content of communications sent by Customers through the Service.
Customers are solely responsible for:
- The content of messages sent through the Service
- Obtaining all legally required consents
- Compliance with applicable laws and regulations
- Their relationships with End Users
The Company does not independently verify End User consent and is not responsible for Customer communications practices.
3. Eligibility
You must be at least 18 years old and legally capable of entering into binding agreements to use the Service.
By using the Service, you represent and warrant that you meet these requirements.
4. Accounts and Security
Certain features require account registration.
You agree to:
- Provide accurate information
- Maintain the confidentiality of login credentials
- Notify us immediately of unauthorized access
You are responsible for all activities conducted under your account.
5. Messaging and Communications
The Service enables Customers to send SMS, voice, email, and other electronic communications to their End Users.
Customer Consent Responsibility
Customers represent and warrant that they have obtained all required opt-in consent from End Users prior to sending communications through the Service.
Customers are solely responsible for ensuring compliance with:
- TCPA and other applicable telecommunications laws
- Privacy regulations
- Carrier and messaging platform requirements
The Company does not collect or independently validate End User consent.
Message Frequency
Message frequency varies and is determined by the Customer's use of the Service.
Message and Data Rates
Message and data rates may apply to End Users based on their mobile carrier plans.
Opt-Out Instructions
End Users may opt out of SMS communications at any time by replying STOP.
After an opt-out request is received, further SMS communications will be discontinued unless the End User re-enrolls or provides renewed consent.
Help Instructions
End Users may reply HELP for messaging assistance or contact the applicable Customer directly.

No Purchase Requirement
Consent to receive communications is not a condition of purchasing any goods or services.
6. Acceptable Use
You agree not to use the Service to:
- Send unlawful, fraudulent, abusive, or misleading communications
- Violate privacy or data protection laws
- Transmit spam or unauthorized marketing
- Interfere with or disrupt the Service
We reserve the right to suspend or terminate accounts that violate these Terms.
7. Fees and Payment
Certain features of the Service may require payment.
All fees and billing terms will be provided in applicable agreements or order forms.
Unless otherwise stated, fees are non-refundable.
8. Intellectual Property
All content, software, trademarks, logos, and materials related to the Service are owned by or licensed to the Company and are protected by intellectual property laws.
You may not copy, distribute, modify, reverse engineer, or create derivative works without our prior written consent.
9. Third-Party Services
The Service may integrate with third-party providers, including telecommunications carriers and messaging platforms.
We are not responsible for the performance, policies, or actions of third parties.
Your use of third-party services is at your own risk.
10. Disclaimer of Warranties
The Service is provided on an “as is” and “as available” basis.
We make no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not guarantee uninterrupted, secure, or error-free operation of the Service.
11. Limitation of Liability
To the fullest extent permitted by law, Merse, Inc. shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from or related to use of the Service.
Our total liability shall not exceed the amount paid by the Customer to the Company in the twelve (12) months preceding the event giving rise to the claim.
12. Indemnification
Customers agree to indemnify and hold harmless Merse, Inc., its officers, directors, employees, and affiliates from any claims, damages, liabilities, or expenses arising from:
- Customer communications
- Failure to obtain proper consent
- Violation of applicable laws
- Misuse of the Service
13. Termination
We may suspend or terminate access to the Service at any time, with or without notice, for violations of these Terms or applicable law.
Upon termination, your right to use the Service immediately ceases.
14. Changes to These Terms
We may update these Terms from time to time.
Continued use of the Service after changes constitutes acceptance of the revised Terms.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.
